Constitution and Bylaws
Article I
NAME
SECTION 1. The name of this organization shall be THE LIMA
ADJUSTERS’ ASSOCIATION.
Article II
OBJECT
SECTION 1. To provide for the meeting
of “Claims People,” the
discussion of problems affecting their interests and the
dissemination of information in connection therewith.
SECTION 2. To promote a high standard of
ethics and
proficiency among its members.
SECTION 3. To promote good fellowship
among its members.
SECTION 4. To promote the common good and
welfare of those
engaged in the claims vocation.
Article III
REGULAR MEMBERSHIP
SECTION 1. It shall be an
organization not for profit.
SECTION 2. REGULAR MEMBERSHIP. Any investigator, claims
representative or attorney actively engaged in the defense or
handling of claims for insurance companies or self-insurers and
devoting the major portion of his/her time to the handling of
property and casualty claims, any persons similarly employed by
a public service corporation; any individuals who perform tasks
allied with the servicing of insurance claims is eligible for
membership. Such individuals shall submit an application, with
one-years dues, for membership to the Membership Committee.
Upon approval of this application by the Membership Committee
and the reading of the application to the membership,
membership is accepted.
SECTION 3. Any member may be expelled from membership for j ust and due cause by a three-fourths majority of the active
members present at a regular meeting following the preceding
regular meeting where it has been announced by the presiding
officer that it was the intention to take such a vote.
SUBSECTION
A. In order to assure itself that the membership
confines itself to the qualifications outlined in Article III,
Section 2 of this Constitution, there shall be a combined
meeting of the Grievance and Executive Committees within
thirty (30) days prior to the annual January Meeting at which
time the entire roster of the organization will be reviewed. At
this time, and upon a majority vote of the committees that any
member has not continued to remain within the qualifications
of Article III, Section 2 or is guilty of unethical acts detrimental
to the profession, his/her membership shall be terminated at
that time, and such member shall be notified of the
Committees’ action in writing. Any member, so eliminated may
contest the Committees’ action by filing a written appeal with
the Executive Committee within two weeks of receipt of such
notice. The matter then shall be submitted to the
entire membership. Upon favorable consideration by three-
fourths of the membership, the member shall be reinstated.
SECTION 4. This Constitution with
By-Laws annexed, shall
become effective when ratified by the duly qualified persons
present as provided in Article III, Section 2, Regular Members
only.
SECTION 5. HONORARY MEMBERSHIP. The
Membership
Committee may recommend for honorary membership any
member who has given long continuous exemplary service or
distinguished service to the association. Any member of the Lima
Adjusters’ Association shall have honorary membership in the
organization at the time such member becomes inactive as an
adjuster or changes vocation and if such honorary membership is
voted for them by the majority of members in attendance at the
meeting following the proposal for such honorary membership.
The Membership Committee shall also have the right and duty to
place before the membership the recommendation for termination
of an honorary member, the same voting practices apply for
termination. An honorary member who meets the above
qualifications shall not be required to pay dues and may attend
meetings, but has no voting privileges. This honorary member
must pay member assessments at social functions, but is not
required to attend the necessary meetings to qualify to attend any
social functions.
SECTION 6. Any member who has served
as President of the
Lima Adjusters’ Association shall have honorary membership in
the organization at the time he/she becomes inactive as an
adjuster or changes vocation.
Article IV
OFFICERS
SECTION 1. The elected officers of
this association shall be a
President, Vice-President, Secretary, Treasurer and Sergeant-at-
Arms.
SECTION 2. The election of officers and the two additional
members of the Executive Committee shall be the preferred order
of business at the annual meeting in December of the
Association. The Nominating Committee shall propose a slate of
Officers at the November meeting. The officers of the Lima
Adjusters’ Association shall be elected by a majority of votes cast
by those present at the regular December meeting of the
Association. Each officer shall take office at the January meeting
and continue in office until his successor is elected.
SECTION 3. The President shall be in
charge of the affairs of the
Association.
SECTION 4. The Vice-President shall
assume the duties of the
President during his absence. The Vice-President shall also be
chairperson of the Directory Committee and is responsible for the
publication of the directory.
SECTION 5. The Secretary shall keep all permanent records,
keep a roster of active members, and keep a record of the
proceedings at all meetings.
SECTION 6. The Treasurer shall
collect all dues, disperse funds
when authorized and keep a permanent record of all receipts and
expenditures.
SECTION 7. The Sergeant-at-Arms shall
maintain order at all
meetings and be in charge of collection of assessments at all
meetings and special functions. All collections will be submitted
to the Secretary with documentation.
SECTION 8. Any officer may succeed himself
by being duly
elected.
SECTION 9. Any officer who is
transferred from the territory or in
any way becomes disassociated with the claims industry shall
immediately submit his resignation and the Executive Committee
shall appoint a replacement officer to fill the unexpired term.
SECTION 10. Two delegates to the
Inter-Organization
Committee of Ohio Claimsmen shall be elected from the Regular
Membership Roster by the membership to serve two-year terms,
commencing with the Annual Meeting in January.
(a) Election of delegates shall alternate, with one being
elected annually.
(b) The President shall appoint an alternate to attend Inter-
Organizational meetings in the event one or both of the duly
elected delegates cannot attend.
Article V
EXECUTIVE COMMITTEE
SECTION 1. There shall be an Executive Committee of the
Association consisting of the President, Vice-President,
Secretary, Treasurer, the Sergeant-at-Arms, the immediate
past President, and the two delegates of the State
Association. The President of the Association shall be
Chairman.
SECTION 2. The Executive Committee,
subject to the
supervision and approval of the Association, shall have
general control of the Association’ affairs. All matters
requiring deliberation and investigation shall be referred to
the Executive Committee for its consideration and
recommendation. It may be given full power to act by the
association in any matters so referred. Five members of the
Executive Committee must be present to be considered a
quorum.
Article VI
COMMITTEES
SECTION 1. There shall be a
Membership Committee, a
Legislative Committee, a Grievance Committee, a
Nominating Committee, a Directory Committee, and any
special committee required. Each committee shall consist of
at least three members. Members of the committees shall
be appointed by the President and shall serve for one year,
or until their successors shall be appointed.
SUBSECTION
A. The Membership Committee shall
investigate all applications for membership and submit
those applications approved to the Association.
SUBSECTION
B. The Grievance Committee shall
provide for a proper hearing of all charges against any
member, and any member found guilty of any breach of
trust or found to be incompetent may be expelled by a
three-fourths majority vote of the members present.
Article VII
MEETINGS
SECTION 1. The regular meetings shall
be held the first
Wednesday of every month with the exception of June,
July, and August. Legislative Committee has the authority
to change the meeting dates as needed.
SECTION 2. Proceedings shall be
according to Robert’s
Rule of Order.
SECTION 3. The President may call a
special meeting for
any emergency.
SECTION 4. The membership present at
any meeting shall
constitute a quorum.
SECTION 5. Legislative Committee
shall establish all dues,
assessments, and meeting attendance requirements for
special events.
A meeting consists of a dinner, a speaker, and the business portion of that meeting. All three (3) parts must be attended in order to get credit for a meeting. Exceptions to this rule must be approved by the Executive Committee. A roll call will be taken just before the closing of the meeting in order to give credit for attendance.
Rules for attendance may be waived for any new member, who joins
the Association after January 1st, as they pertain to the
requirements for attendance to the above functions for that year in
which they join.
Article VIII
RULES
SECTION 1. The Legislative Committee
shall propose By-
Laws and Amendments providing rules and regulations for
the Association. These proposals may be passed, amended
or repealed by a majority vote of the members present at
any regular meeting, provided however, that such proposed
By-Law or amendment be first submitted at a regular
meeting and voted upon at the next following meeting.
Article IX
DUES
SECTION 1. Members shall pay annual dues of $15.00 at
the January meeting of each year. When deemed
necessary an assessment may be levied in addition to
regular dues by a majority vote of the members present at
any regular meeting.
SECTION 2. Dues are payable the First
of January. If dues
are not paid in January, a delinquent fine of $1.00 per
month will be assessed. Any member who becomes
delinquent in his dues for one year will be automatically
dropped from membership. Any member so dropped may
be reinstated by making application, submitting one year
dues with the application and penalty equivalent to one
years dues. Reinstatement is subject to a vote of the
membership, the same as for a new member as provided in
the Constitution.
SECTION 3. Any new member submitting
dues and
application for membership, or delinquent member
submitting dues, penalty and application for reinstatement
at the December Meeting, will have those dues paid applied
to the following calendar year.
